Terms of Service

IMPORTANT: Please read these Terms of Service carefully before using Stagetrac. By creating an account or using our service, you acknowledge that you have read, understood, and agree to be bound by these terms in their entirety.

By agreeing to these Terms, you acknowledge that:

  • You are responsible for maintaining backups of your data
  • Stagetrac is not liable for data loss, corruption, or security breaches
  • The service is provided "as is" without warranties
  • You agree to the limitation of liability and indemnification clauses

1. Acceptance of Terms

By accessing, registering for, or using Stagetrac ("the Service"), you ("User", "you", or "your") agree to be legally bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations. If you do not agree to these Terms, you must not use the Service.

These Terms constitute a legally binding agreement between you and Stagetrac. Your use of the Service indicates your acceptance of these Terms.

2. Description of Service

Stagetrac is a job tracking and workforce management platform designed for manufacturing workshops and similar businesses. The Service includes web and mobile applications for task management, time tracking, employee management, and photo documentation.

The Service is provided for business use only. Stagetrac is not intended for personal, consumer, or non-business use.

3. Account Registration and Responsibilities

To use the Service, you must:

  • Register using a valid business email address (personal email providers are not accepted)
  • Provide accurate, current, and complete registration information
  • Maintain and promptly update your account information
  • Maintain the confidentiality and security of your account credentials
  • Be at least 16 years of age
  • Have the legal authority to bind yourself or your organization to these Terms

You are solely responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other security breach.

4. Acceptable Use Policy

You agree NOT to:

  • Use the Service for any unlawful, illegal, or unauthorized purpose
  • Attempt to gain unauthorized access to the Service, other accounts, or computer systems
  • Interfere with, disrupt, or overload the Service or its infrastructure
  • Upload viruses, malware, or any malicious code
  • Transmit spam, chain letters, or unsolicited communications
  • Impersonate any person or entity or misrepresent your affiliation
  • Share, sell, or transfer your account credentials to unauthorized persons
  • Use the Service to harass, abuse, defame, or harm others
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Use automated systems (bots, scrapers) to access the Service without permission
  • Circumvent any security measures or access restrictions

Violation of this Acceptable Use Policy may result in immediate termination of your account without notice or refund.

5. User Data and Content

Ownership:You retain ownership of all data, content, and materials you upload to the Service ("User Content"). By using the Service, you grant Stagetrac a limited, non-exclusive license to store, process, transmit, and display your User Content solely as necessary to provide the Service.

User Responsibility: You are solely responsible for:

  • The accuracy, quality, and legality of your User Content
  • Ensuring you have all necessary rights and permissions to upload User Content
  • Complying with all applicable privacy and data protection laws
  • Obtaining consent from employees or third parties whose data you input into the Service

6. DATA BACKUP AND LOSS DISCLAIMER

YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING BACKUPS OF YOUR DATA.

While we implement reasonable measures to protect your data, Stagetrac does not guarantee against data loss, corruption, or destruction. Data may be lost due to:

  • System failures, hardware malfunctions, or software bugs
  • Cyberattacks, hacking, or security breaches
  • Human error (by you, your employees, or our team)
  • Natural disasters, power outages, or other force majeure events
  • Third-party service provider failures (including cloud infrastructure)
  • Account termination or service discontinuation

We strongly recommend that you regularly export and backup all important data stored in Stagetrac. Stagetrac shall not be liable for any data loss, regardless of the cause.

7. SECURITY AND DATA BREACH DISCLAIMER

NO SYSTEM IS 100% SECURE. While we employ industry-standard security measures to protect your data, we cannot guarantee that unauthorized third parties will never be able to defeat our security measures or misuse any information.

You acknowledge and accept the following risks:

  • Data breaches, unauthorized access, or data leaks may occur despite our best efforts
  • Internet transmissions are never completely private or secure
  • Third-party services we rely on may experience security incidents
  • No encryption or security protocol is unbreakable

Stagetrac shall not be held liable for any unauthorized access, data breach, data leak, or security incident, except to the extent caused by our gross negligence or willful misconduct. In the event of a known security breach, we will make reasonable efforts to notify affected users as required by applicable law.

8. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the maximum extent permitted by applicable law, Stagetrac expressly disclaims all warranties, including but not limited to:

  • IMPLIED WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT
  • UNINTERRUPTED OR ERROR-FREE OPERATION
  • SECURITY OR FREEDOM FROM VIRUSES

We do not warrant that the Service will meet your requirements, be available at any particular time or location, or that any defects will be corrected.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STAGETRAC, ITS OWNERS, OPERATORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, business opportunities, or goodwill
  • Loss of data, corruption of data, or cost of data recovery
  • Business interruption or downtime
  • Personal injury or property damage
  • Any damages arising from unauthorized access or data breaches
  • Any damages arising from third-party actions or services
  • Any damages exceeding the total fees you paid to Stagetrac in the twelve (12) months preceding the claim

These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise), even if Stagetrac has been advised of the possibility of such damages.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Stagetrac, its owners, operators, employees, agents, licensors, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any applicable laws or regulations
  • Your User Content or any content you submit, post, or transmit through the Service
  • Your infringement of any third-party rights (including intellectual property rights)
  • Any claims by your employees, contractors, or third parties related to your use of the Service
  • Any dispute between you and any third party relating to the Service

11. Service Availability and Modifications

Service Availability: We strive to maintain reliable service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

Service Modifications: We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We may also add, remove, or modify features, functionality, or pricing at our discretion.

Discontinuation: We may discontinue the Service entirely at any time. In such case, we will make reasonable efforts to provide advance notice and allow you to export your data. Stagetrac shall not be liable for any modification, suspension, or discontinuation of the Service.

12. Subscription Plans and Payment

Stagetrac offers various subscription plans including a free tier. By subscribing to a paid plan, you agree to:

  • Pay all applicable fees in accordance with the selected plan
  • Provide valid and current payment information
  • Accept automatic renewal unless cancelled before the renewal date
  • Pay any applicable taxes

Refunds: Subscription fees are generally non-refundable except as required by applicable law. No refunds will be provided for partial months or unused features.

13. Account Termination

Termination by You: You may delete your account at any time through the account settings. Upon deletion, your access to the Service will cease immediately.

Termination by Stagetrac: We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including but not limited to:

  • Violation of these Terms
  • Fraudulent, illegal, or harmful activity
  • Non-payment of fees
  • Requests by law enforcement or government agencies
  • Extended periods of inactivity
  • Discontinuation of the Service

Effect of Termination: Upon termination, your right to use the Service will immediately cease. We may delete your data in accordance with our data retention policies. We are not obligated to maintain or provide your data after termination.

14. Force Majeure

Stagetrac shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to:

  • Natural disasters (floods, earthquakes, fires, storms)
  • Acts of war, terrorism, or civil unrest
  • Epidemics, pandemics, or public health emergencies
  • Government actions, laws, or regulations
  • Power outages, telecommunications failures, or internet disruptions
  • Failures of third-party service providers
  • Cyberattacks, hacking, or denial of service attacks

15. Intellectual Property

The Stagetrac name, logo, and all related marks are our trademarks. The Service and its original content, features, and functionality are owned by Stagetrac and are protected by copyright, trademark, patent, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

16. Third-Party Services

The Service may integrate with or contain links to third-party services, websites, or applications. We are not responsible for the content, privacy policies, or practices of third-party services. Your use of third-party services is at your own risk and subject to their respective terms and conditions.

17. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through the Service or via email. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

If you do not agree to the modified Terms, you must stop using the Service and delete your account.

18. Dispute Resolution

Informal Resolution: Before initiating any legal action, you agree to contact us and attempt to resolve any dispute informally.

Arbitration: Any disputes that cannot be resolved informally shall be resolved through binding arbitration in Queensland, Australia, in accordance with applicable arbitration rules.

Class Action Waiver: You agree to resolve disputes with Stagetrac on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Queensland, Australia, without regard to conflict of law principles. Any legal proceedings shall be conducted in the courts of Queensland, Australia.

20. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

21. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Stagetrac regarding the Service, superseding any prior agreements.

BY USING STAGETRAC, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE, UNDERSTOOD THEM, AND AGREE TO BE BOUND BY THEM. YOU FURTHER ACKNOWLEDGE THAT THESE TERMS, TOGETHER WITH THE PRIVACY POLICY, REPRESENT THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN YOU AND STAGETRAC.
